Article I-Overview
Section 1. Name: This organization shall be named the Zone 9 Zone Committee. The official abbreviation shall be Z9ZC.
Section2. Purpose: The Z9ZC shall at all times be operated and conducted as a non-profit association in accordance with the laws of the States of Florida, Georgia, North Carolina, and South Carolina. The purpose of the committee is as follows:
A. To promote and stimulate interest in the Paint Horse by encouraging Paint breeding for conformation and ability.
B. To promote interest in the Paint Horse as a breed.
C. To promote the Paint Horse through horse shows, pleasure and trail riding, racing, and all other activities of the same nature.
D. To promote good horsemanship and good sportsmanship.
E. To educate the public and the qualities of the Paint Horse and the American Paint Horse Association (APHA).
F. To encourage membership in both regional and national levels.
G. To include all APHA regional clubs in a Zone 9 regional horse show.
Beginning with year 2013, every effort shall be made to comply with the APHA directive to have all Zone 9 regional Paint Horse Clubs directly participate in a Zone 9 show.
Section 3. Members/Locations: The Z9ZC shall cover and include the following designated area: the complete states of Florida, Georgia, South Carolina, and North Carolina. The principal office of the committee shall be the address of the duty elected secretary or president, but business of the organization may be conducted at any location convenient to the Officers and Directors of the Committee.
Article II-Members
Section 1. Membership: There shall be no shares if stock issued to any members. Membership shall consist of members from each regional zone state club per Article X Section 4 of the APHA Rule Book.
The Zone Coordinating Committee would be organized at a meeting consisting of equal number of representatives from each state and/or Regional Club that wished to participate from that zone. (Three per state is suggested) It is not mandatory for a state and/or regional club to participate.

Section 2. Quorum: Seventy-five percent (75%) of the members of the committee shall constitute a quorum for conducting a meeting of the committee. Except as provided elsewhere in these by-laws, a simply majority vote of the members present at any meeting or conference call of the committee shall be sufficient to approve any matter brought before the committee for action.
Section 3. Annual Meeting: There shall be an annual meeting of conference call of the committee at the time and place established by the president.
Article III-Committee Officers
Section1. Members and Election of Officers: The offices of the committee shall consist of Chairman, Co-Chairman, Secretary, and Treasurer. Officers must be members from each of the Zone 9 clubs. No club may have more than two (2) officers at one time. Officers shall be elected by the members for a year term beginning January 1st and ending December 31st of each year and may be reelected.
Duties
A. Chairman- The Chairman is the Chief Executive Officer of the Zone Committee. The Chairman shall preside at all meetings of the committee. The Chairman shall have such other duties and the committee may assign responsibilities as to him/her.
B. Co-Chairman- The Co-Chairman shall preside at the meeting of the committee in the absence of the Chairman. The Co-Chairman shall have such other duties and the committee may assign responsibilities as to him/her.
C. Secretary- The Secretary shall keep records of the committee including minutes of the meetings and committee information.
D. Treasurer- The Treasurer shall keep financial records of the committee including but not limited to a zone show.
Section2. Power and Authority of the Committee: The sole purpose of the committee is to assure that a Zone 9 show will be held annually as set forth by the rules of the APHA.
Section 3. Sanctioning Zone-O-Rama Shows: Each regional club that sponsors the Zone-O-Rama is responsible for the expenses of the show.
A. If the Zone Committee chooses to host the Zone-O-Rama each all clubs participating in the committee will equally split all costs and any potential profits or loss.
B. If the Zone Committee hosts the Zone-O-Rama the clubs may split costs at their desecration and potential profits and losses will be split at same percentages. (Ex. Florida pays 50% cost, Georgia pays 25% cost, and North Carolina pays 25% cost. Then, profits will be split Florida 50%, Georgia 25%, and North Carolina 25%)
C. If a singular club hosts the Zone-O-Rama that club will be financially responsible for costs and any profit or loss.
Article IV-Amendments
These By-laws may be amended by a three-quarters vote of the members present at the membership meeting.
Article V-Indemnification
Each member of the committee shall be indemnified by the committee against all liabilities reasonably incurred by him/her in connection with/or resulting from any action, suit, or proceeding to which he/she may be made a party or reason of his or her being or having been a member or officer of the committee. The forgoing rights shall be in addition to any other rights who which such member or officer may be entitled as a matter of Law.
Article VI-Dissolution
Upon a vote of Seventy Five percent (75%) of the members of the committee the committee may be dissolved.
